For clients with active service agreements, the dispute resolution provisions of the applicable service agreement will govern disputes arising from the specific engagement. For all other users and matters, the provisions of this section apply.

16. Termination

We may terminate or suspend your access to the website and services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Service. Upon termination, your right to use the website will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

If you wish to terminate your relationship with us, you may simply discontinue using the website. For clients with active service agreements, termination shall be governed by the terms of the applicable service agreement.

17. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms of Service, other than for payment obligations, caused by circumstances beyond its reasonable control, including but not limited to acts of God, fire, flood, earthquake, storm, epidemic, pandemic, war, terrorism, riot, civil unrest, labor disputes, utility failures, telecommunications or Internet failures, government action, embargo, sanctions, or other causes beyond the reasonable control of the affected party.

The affected party shall give prompt written notice of any force majeure event to the other party and shall use commercially reasonable efforts to resume performance as soon as practicable. If a force majeure event continues for more than sixty days, either party may terminate the affected services without liability.
